OVERVIEW

Welcome to MemoryMint. These Terms of Service are entered into between you and allewege, LLC, a Delaware limited liability company operating under the brand name MemoryMint (“MemoryMint,” “we,” “us,” or “our”).

allewege, LLC operates this store and website, including all related information, content, features, tools, products, and services provided to customers (collectively, the “Services”). MemoryMint is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced in them (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you access or use the Services.

Please read these Terms of Service carefully. They contain important information about your legal rights, including warranty disclaimers, limitations of liability, and dispute provisions.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority and have given consent for any minor dependents to use the Services on devices that you own, purchase, or manage.

To use the Services, including browsing our online store or purchasing products or services, you may be asked to provide information such as your email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide it.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to provide accurate descriptions and representations of our products and services. However, colors and product appearance may differ from how they appear on your screen because of device type, display settings, lighting, photography, and other technical factors.

Many MemoryMint products are personalized and produced using customer-uploaded photos. Digital previews are representations of the intended design and are not photographs of the finished physical product. Minor differences may occur when a digital design is produced as a physical item.

Subject to applicable law and our Refund Policy, we do not warrant that the appearance or quality of a product or service will exactly match a digital rendering or meet every subjective expectation.

Product descriptions, specifications, prices, colors, materials, and availability may be changed at any time without prior notice. We reserve the right to discontinue products or limit the quantities offered to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. MemoryMint reserves the right to accept, reject, limit, or cancel an order for legitimate business, payment, fraud-prevention, availability, legal, or operational reasons.

Your order is not accepted until MemoryMint confirms acceptance and successfully receives or processes payment. Please review your product selection, uploaded photo, personalization details, shipping address, and contact information carefully before submitting your order.

Because many MemoryMint products are custom-made, we may be unable to accommodate cancellation or modification requests after design review or production has begun.

If we reject, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number provided with the order.

Returns, exchanges, refunds, cancellations, replacements, and remakes are governed by our Refund Policy.

You represent and warrant that your purchases are for personal or household use and not for unauthorized commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice. The price charged will be the price displayed at the time the order is placed and will be included in the applicable order confirmation.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping charges, handling charges, customs duties, import taxes, brokerage fees, or other government charges.

Prices offered through our online store may differ from prices displayed through third-party channels, marketplaces, promotions, or other storefronts. Promotions may be subject to additional terms. If promotional terms conflict with these Terms, the specific promotional terms will govern that promotion.

You agree to provide current, complete, and accurate purchase, payment, billing, shipping, and account information. You agree to promptly update information necessary for us to complete transactions and contact you.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the selected payment method; (iii) charges incurred by you will be honored by the applicable payment provider; and (iv) you will pay all authorized charges, including applicable taxes, shipping, and handling charges.

SECTION 5 - SHIPPING AND DELIVERY

Production and delivery times are estimates and are not guaranteed. Custom production, carrier delays, customs processing, weather, holidays, address issues, security inspections, and other events outside our reasonable control may affect delivery.

We are not responsible for delays caused solely by shipping carriers, customs authorities, government agencies, or events outside our reasonable control. Title and risk of loss pass only to the extent permitted by applicable law.

Customers are responsible for providing a complete and accurate delivery address. Additional costs caused by an incorrect, incomplete, refused, or undeliverable address may be the customer’s responsibility where permitted by law.

If a shipment appears lost, arrives damaged, or contains an incorrect item, contact us at service@getmemorymint.com so that we can review the issue under our Shipping Policy and Refund Policy.

SECTION 6 - INTELLECTUAL PROPERTY

The Services, including trademarks, brand names, text, displays, images, graphics, product photographs, customer reviews, videos, audio, designs, layouts, software, and the selection and arrangement of these materials, are owned by MemoryMint, its affiliates, or its licensors and are protected by applicable United States and international intellectual property laws.

These Terms permit you to use the Services for personal, lawful, and non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit material from the Services without our prior written permission, except as permitted by applicable law.

Except as expressly provided in these Terms, nothing grants you a license or other rights under any patent, trademark, copyright, trade secret, or other intellectual property right belonging to MemoryMint, Shopify, or any third party.

MemoryMint names, logos, product names, service names, designs, and slogans are trademarks or other brand assets of MemoryMint or its affiliates or licensors. You may not use them without prior written permission.

Shopify names, logos, product names, service names, designs, and slogans are trademarks or brand assets of Shopify. Other names, logos, products, services, designs, and slogans appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

We may provide access to tools, applications, integrations, or services offered by third parties. We may not monitor, control, or have input into those third-party tools.

Access to such tools is provided “as is” and “as available,” without warranties, representations, endorsements, or conditions of any kind, to the fullest extent permitted by law.

Your use of third-party tools is at your own discretion and risk. You are responsible for reviewing and accepting the terms and privacy practices of the relevant third-party provider.

We may introduce new features, tools, services, and resources in the future. Unless stated otherwise, they will form part of the Services and will be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain materials, integrations, or hyperlinks provided or operated by third parties. We are not responsible for examining or evaluating the accuracy, availability, security, content, products, services, or practices of third-party websites or services.

If you leave the Services to access a third-party website or service, you do so at your own discretion and risk. We are not responsible for losses or damages resulting from your use of third-party materials, websites, products, services, resources, or content, except where liability cannot legally be excluded.

Please review the relevant third party’s policies and practices before engaging in a transaction. Questions or complaints concerning third-party products or services should be directed to the applicable third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

MemoryMint is powered by Shopify, which enables us to provide the Services to you. However, purchases made through our store are made directly between you and allewege, LLC operating under the MemoryMint brand.

By using the Services, you acknowledge that Shopify is not the seller of MemoryMint products and is not responsible for the products, personalization, production, fulfillment, shipping, customer support, or other aspects of transactions between you and MemoryMint.

To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising solely from your purchase or transaction with MemoryMint.

SECTION 10 - PRIVACY POLICY

Personal information that we collect through the Services is subject to our Privacy Policy. Certain personal information may also be collected and processed by Shopify in accordance with Shopify’s Consumer Privacy Policy.

Because the Services are hosted by Shopify, Shopify processes information relating to your access to and use of the Services to provide, secure, maintain, and improve its platform and services.

Information submitted through the Services may be transmitted to and processed by Shopify and other service providers, including providers located outside your country or jurisdiction, as described in our Privacy Policy.

By using the Services, you acknowledge that you have had an opportunity to review the applicable privacy policies.

SECTION 11 - FEEDBACK

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, photographs, videos, testimonials, or other content relating to the Services (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, transferable, royalty-free license to use, reproduce, modify, publish, distribute, translate, display, and otherwise use that Feedback for lawful business purposes.

Such purposes may include operating, providing, evaluating, improving, supporting, and promoting the Services, subject to applicable privacy, publicity, intellectual property, and consumer protection laws.

You represent and warrant that: (i) you own or possess the rights necessary to provide the Feedback; (ii) you have disclosed any compensation or incentive received in connection with it where required; and (iii) the Feedback complies with these Terms and applicable law.

Unless otherwise agreed in writing, we are under no obligation to keep Feedback confidential, pay compensation for it, or respond to it.

We may monitor, edit, restrict, or remove Feedback that we reasonably determine is unlawful, abusive, threatening, defamatory, obscene, deceptive, infringing, malicious, or otherwise violates these Terms.

You may not submit Feedback that infringes another person’s intellectual property, privacy, publicity, personality, contractual, or proprietary rights. You may not use a false identity or materially misrepresent the origin of Feedback.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, personalization options, pricing, promotions, offers, shipping charges, delivery estimates, inventory, or availability.

We reserve the right to correct errors, update information, change or discontinue offers, and cancel or modify orders affected by materially inaccurate information, subject to applicable law. Where appropriate, we will notify affected customers and provide any refund required by law or our policies.

SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes. You may not access or use the Services, directly or indirectly:

(a) for an unlawful, fraudulent, or malicious purpose;
(b) to violate any international, federal, state, provincial, territorial, or local law, regulation, rule, or ordinance;
(c) to infringe or violate our intellectual property rights or the rights of another person;
(d) to harass, abuse, threaten, defame, intimidate, discriminate against, or harm another person;
(e) to transmit false, deceptive, or materially misleading information;
(f) to upload, download, use, or reuse material that does not comply with these Terms;
(g) to send unauthorized advertising, promotional material, junk mail, chain letters, spam, or similar solicitations;
(h) to impersonate or attempt to impersonate another person or entity; or
(i) to engage in conduct that restricts or interferes with another person’s use or enjoyment of the Services or that may harm MemoryMint, Shopify, customers, or other users.

In addition, you agree not to:

(a) upload or transmit viruses, malicious code, or harmful technology;
(b) reproduce, duplicate, copy, extract, sell, resell, or commercially exploit an unauthorized portion of the Services;
(c) collect, scrape, or track personal information without lawful authority;
(d) spam, phish, pharm, pretext, or engage in similar deceptive activity;
(e) use robots, spiders, scraping systems, data-gathering tools, automatic processes, AI tools, or manual processes to access or extract information from the Services, except as expressly permitted under Section 14, our published technical instructions, or applicable law; or
(f) interfere with, bypass, disable, circumvent, or defeat security, access-control, robot-exclusion, rate-limit, or authorization measures.

We reserve the right to suspend, restrict, disable, or terminate access to the Services if we reasonably determine that these Terms have been violated.

SECTION 14 - AGENTS

14.1 This section (“Agent Terms”) applies if you use, allow, enable, or deploy an Agent to access, use, or interact with the Services. “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity and that may operate without continuous direct human supervision.

14.2 An Agent may access, use, or interact with the Services only when it identifies itself and operates in accordance with these Agent Terms, our published technical instructions, applicable law, and any access limitations communicated by us.

14.3 We may use reasonable technical measures to limit whether and how an Agent accesses, uses, or interacts with the Services.

14.4 Agents must:

(i) identify automated requests using an accurate user-agent string or other technically appropriate method;
(ii) not conceal or misrepresent automated access;
(iii) not attempt to mimic human behavior for the purpose of circumventing access controls;
(iv) not complete or bypass CAPTCHAs or similar measures designed to distinguish automated access from human access;
(v) respond truthfully to requests intended to determine whether an interaction is automated; and
(vi) not circumvent measures intended to block, limit, modify, or control automated access.

14.5 Permission for automated access may also be communicated through our robots.txt file, agent discovery files, APIs, structured product data, Shopify Catalog, Storefront MCP, or other published technical mechanisms.

SECTION 15 - TERMINATION

We may suspend or terminate this agreement or your access to all or part of the Services in our reasonable discretion, including when you violate these Terms, misuse the Services, create legal or security risk, or fail to pay amounts due.

Termination does not affect obligations or amounts that accrued before termination.

Provisions that by their nature should survive termination will continue to apply, including provisions relating to Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Governing Law, Privacy, and payment obligations.

SECTION 16 - DISCLAIMER OF WARRANTIES

Information provided through the Services is made available for general informational and commercial purposes. We do not warrant that all information will always be complete, current, accurate, or suitable for every purpose.

To the fullest extent permitted by applicable law, the Services and products offered through the Services are provided “as is” and “as available,” except for express commitments stated in our product descriptions, written policies, order confirmations, or applicable law.

We disclaim implied warranties and conditions, including merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement, only to the extent those warranties or conditions may lawfully be disclaimed.

We do not guarantee that access to the Services will always be uninterrupted, timely, secure, or error-free.

Some jurisdictions do not permit the exclusion of certain warranties or provide mandatory consumer rights. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMORYMINT, ALLEWEGE, LLC, OUR AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, LOSS OF GOODWILL, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATING TO A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM.

These limitations do not apply to liability that cannot lawfully be limited or excluded, including liability arising from fraud, willful misconduct, or other matters where exclusion is prohibited by applicable law.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless allewege, LLC, MemoryMint, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from:

(1) your material breach of these Terms or policies incorporated by reference;
(2) your violation of applicable law or the rights of another person; or
(3) your unlawful or unauthorized access to or use of the Services.

We will provide reasonable notice of an indemnifiable claim. A delay in notice will not relieve your obligations unless the delay materially prejudices your ability to respond.

We may control the defense and settlement of a covered claim at your expense, including selection of counsel, but will not agree to a settlement imposing non-monetary obligations on you without your reasonable consent. You agree to provide reasonable cooperation in the defense of covered claims.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary. The remaining provisions will continue in full force and effect.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and operating rules posted through the Services, constitute the entire agreement between you and us concerning your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals concerning the same subject matter.

Any ambiguity in these Terms will not automatically be interpreted against the party that drafted them.

SECTION 21 - ASSIGNMENT

You may not delegate, transfer, or assign these Terms or your rights or obligations under them without our prior written consent. An attempted assignment made without required consent is void to the extent permitted by law.

We may transfer or assign these Terms and our rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, financing, corporate reorganization, or transfer of the MemoryMint business, subject to applicable law.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreements through which we provide the Services are governed by and construed in accordance with the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law principles.

Subject to any mandatory consumer protection rights or jurisdictional rules that apply to you, the state and federal courts located in the State of Delaware will have non-exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

Headings are included for convenience only and do not limit or otherwise affect the meaning or interpretation of these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE

You may review the current version of these Terms at any time on this page.

We reserve the right to update, change, or replace part or all of these Terms by posting an updated version through the Services.

Where required by applicable law, we will provide notice of material changes. Changes will become effective on the date stated in the applicable notice or, if no date is stated, when the updated Terms are posted.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updates to the extent permitted by applicable law.
